1. Agreement to These Terms

Welcome to Reprezence (“Service”, “we”, “our”, or “us”). These Terms of Service (“Terms”) govern your access to and use of our website, platform, and related business services (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not use the Services.

2. Our Services

Reprezence provides cloud-based social listening, lead discovery, and buyer intent intelligence services. The exact scope and features you receive depend on the plan or tier you purchase. We continuously improve our platform and may update, enhance, or adjust how the Services are delivered over time.

3. User Accounts and Security

To access features of the Service, you must register for an account. You agree to provide accurate, current, and complete information and to keep your credentials secure. You are solely responsible for all activity conducted under your account. Promptly notify us if you suspect any unauthorized access.

4. Payments and Billing

Some Services require payment. If you purchase a paid subscription or engagement, you agree to pay the fees displayed at checkout or otherwise agreed with us.

Recurring Subscriptions: By purchasing a recurring plan, you authorize us to charge your designated payment method on a recurring monthly or annual basis until you cancel. Fees are non-refundable except as specified in our Refund Policy.

5. Cancellation & Refund Policy

You may cancel your subscription at any time through your in-app billing dashboard or by emailing support@reprezence.com. Upon cancellation, your access remains active until the end of your prepaid billing period.

6. Privacy & Use of Your Information

We respect your privacy and do not sell your personal information. How we collect, store, and process information is described in our Privacy Policy.

Email Communications: We may use your email address to follow up on your account, answer questions regarding your plan, provide customer support, request feedback, and send important service announcements or marketing communications. You can unsubscribe from marketing emails at any time.

Phone Communications: If you provide a phone number, we may use it for critical account notices, security verification, or urgent billing issues. We do not place unsolicited promotional calls without prior notice. If you ever receive an unexpected call claiming to represent Reprezence without prior notice, treat it as unauthorized and do not disclose sensitive details.

7. Acceptable Use Policy

You may not use the Services to abuse any systems, conduct or facilitate illegal activities, or harm others. You agree not to use the Services in any way that:

• Violates any applicable local, state, national, or international law or regulation.
• Abuses, overloads, compromises, or disrupts our infrastructure or any third-party systems.
• Harasses, defames, threatens, stalks, or harms any individual or organization.
• Impersonates any person or entity or misrepresents your affiliation.
• Conducts fraudulent activity, deception, or deceptive marketing schemes.
• Transmits unsolicited mass spam, commercial messaging, or abusive content.
• Violates third-party intellectual property, privacy, or proprietary rights.

We reserve the right to immediately suspend or terminate your access if we determine that you have violated these Terms or engaged in unacceptable use.

8. Account Termination & Suspension

We reserve the right to terminate or suspend your account and access to the Services immediately, without prior notice or liability, for reasons including but not limited to:

• Violation of any provision of these Terms.
• Attempts to compromise, probe, or reverse engineer our systems.
• Abuse of the Services, or disrupts our systems or any third party systems.
• Fraudulent activity.
• Illegal activity conducted in connection with the Services.

If we detect abuse as outlined above, we may terminate your access and issue a prorated refund at our sole discretion.

9. Intellectual Property Rights

The Services, including our software, user interface, brand assets, logos, visual designs, and documentation, are the exclusive property of Reprezence and its licensors. You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the platform in accordance with your active plan tier.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Reprezence, its directors, officers, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, business interruption, or other intangible losses, resulting from:

• Your access to, use of, or inability to access or use the Services.
• Any conduct or content of any third party on or related to the Services.
• Any data or information obtained through the Services.
• Unauthorized access, use, or alteration of your transmissions or account.
